Terms of Service

These Terms of Service (“Terms”) govern your use of the Muco Hospital Management System provided by Muco (“Muco,” “we,” “us”). By accessing or using Muco, you agree to be bound by these Terms.

1. Definitions

  • “Platform” refers to the Muco HMS software application, including desktop clients, backend services, and any associated documentation.
  • “Hospital” or “you” refers to the healthcare organisation that registers for and uses the Platform.
  • “User” refers to any individual (doctor, nurse, administrator) authorised by the Hospital to access the Platform.
  • “Patient Data” refers to any healthcare records, clinical data, personal information, or other data entered into the Platform by Users.

2. Account Registration and Access

To use the Platform, you must submit a registration request through our website. We will review your request and set up your hospital account. You agree to provide accurate, current, and complete information during registration.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

3. Subscription and Payment

Muco is offered on a subscription basis with monthly or annual billing options. Pricing is based on bed count and features, as described on our pricing page. All fees are in Indian Rupees (₹) and are exclusive of applicable taxes.

Payments are due at the beginning of each billing period. Late payments may result in suspension of service. We reserve the right to change pricing with 30 days' notice, except for the current billing period.

4. Data Ownership and Responsibility

You own your data. All Patient Data, hospital configuration, and user-created content belongs exclusively to you. We claim no ownership over your data. We act solely as a data processor under applicable data protection laws.

You are responsible for ensuring that you have the necessary patient consents and legal basis to process Patient Data through our Platform. You are also responsible for the accuracy and completeness of the data you enter.

5. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of healthcare regulations
  • Attempt to gain unauthorised access to other hospitals' data or accounts
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Use the Platform to store or transmit malware, viruses, or harmful code
  • Resell, sublicense, or redistribute the Platform to third parties

6. Service Availability

We strive to maintain 99.5% uptime for our cloud services. However, the Platform operates in an offline-first architecture — your desktop application will continue to function locally even during server outages. Data will synchronise automatically when connectivity is restored.

We may schedule maintenance windows with advance notice. Emergency maintenance may be performed without notice when necessary to protect the security or stability of the Platform.

7. Intellectual Property

The Muco Platform, including its software code, user interface design, logos, and documentation, are the exclusive intellectual property of Muco. These Terms grant you a limited, non-exclusive, non-transferable license to use the Platform for your hospital operations. No other rights are transferred.

8. Limitation of Liability

To the maximum extent permitted by law, Muco shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to loss of data, revenue, or clinical outcomes.

Our total liability for any claim arising from these Terms shall not exceed the amount paid by you for the Platform in the twelve months preceding the claim.

Not a medical device: Muco is a hospital management tool. It does not provide medical advice, diagnosis, or treatment recommendations. Clinical decisions remain the sole responsibility of qualified healthcare professionals.

9. Termination

Either party may terminate the subscription with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms or engage in conduct that threatens the security of the Platform.

Upon termination, you may request a complete export of your data within 30 days. After this period, we will delete your data from our systems, subject to any legal retention requirements.

10. Confidentiality

Both parties agree to treat all non-public information exchanged during the course of service as confidential. This includes Patient Data, business information, and technical specifications. Confidentiality obligations survive termination of these Terms.

11. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Patna, Bihar.

Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email and through the Platform at least 30 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
